User Agreement

This User Agreement ("Agreement") is a legally binding contract between you ("User," "you," or "your") and RallyAid, Inc., a Delaware Public Benefit Corporation ("RallyAid," "we," "us," or "our"). By creating an account or using our platform at rallyaid.com (the "Platform"), you agree to be bound by this Agreement in its entirety.

RallyAid was incorporated as a Public Benefit Corporation under Delaware law. Our stated public benefit purpose is: to democratize civic participation, empower peaceful protest, and support the safety and rights of activists across all communities.

This Agreement operates alongside our Privacy Policy, Community Rules, and Terms & Conditions. All four documents together constitute the full legal framework governing your use of RallyAid. If there is a conflict between documents, the Terms & Conditions shall control, followed by this User Agreement.

If you are accepting this Agreement on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to this Agreement.

By using RallyAid, you affirmatively agree to:

• Provide accurate and truthful information in your profile, posts, and all submissions
• Comply with all applicable federal, state, and local laws and regulations in any jurisdiction where you use our platform or organize events
• Respect the rights, safety, and dignity of all other users and community members
• Not engage in fraudulent, deceptive, or harassing behavior toward other users or RallyAid staff
• Not attempt to access unauthorized areas of the platform or circumvent security measures
• Not use automated bots, scrapers, or other tools to access or aggregate data without written permission
• Not impersonate any person, entity, or official account
• Not use the platform to organize, promote, fund, or incite violence, illegal activity, or discrimination
• Report violations of this Agreement or our Community Rules that you observe on the platform
• Not attempt to interfere with, disrupt, or overload the platform's infrastructure or servers

Users who create and manage rallies on RallyAid ("Organizers") take on additional responsibilities and agree to the following:

4.1 Legal Compliance

• Ensure all rally activities comply with applicable federal, state, municipal, and local laws and ordinances
• Obtain and maintain all necessary permits, licenses, and government approvals required for your event
• Upload proof of municipal permits and licensing to the RallyAid platform prior to event promotion
• Update the platform if permits are amended, revoked, or expire prior to or during the event
• Provide accurate event details including date, time, location, expected attendance, and nature of the event
• Cancel or postpone events through the platform if permits are not obtained and notify registered attendees immediately

4.2 Participant Safety

• Take reasonable measures to promote participant safety and peaceful conduct at all events
• Designate safety marshals or coordinators for events with expected attendance exceeding 100 people
• Maintain and update emergency contact and safety information on the platform
• Promptly address safety concerns or emergencies reported through the RallyAid Safety Check-In system
• Not misrepresent the nature, safety conditions, or legal status of your event to potential attendees
• Comply with any lawful official directives communicated through the platform's Official Portal

4.3 Organizer Indemnification

Organizers agree to indemnify, defend, and hold harmless RallyAid, its officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with their rally activities, content, permit compliance failures, or violations of this Agreement.

RallyAid operates a formal permit coordination system to promote transparent, lawful civic events:

• All rally organizers are required to upload municipal permits, parade licenses, assembly approvals, or other official authorizations before a rally can be listed as "Approved" on the platform
• Verified official accounts (local government agencies, law enforcement agencies, municipal departments) can access and review submitted licensing documentation for events in their jurisdiction
• Permits are reviewed and verified by RallyAid administrators and may be cross-referenced with issuing authorities
• Rallies without valid, submitted licensing will be marked "Pending Review" and may be removed if permits are not provided within 72 hours of the scheduled event
• Organizers must notify RallyAid within 24 hours if a permit is revoked, amended, or if the event is cancelled

Permit requirements vary widely by jurisdiction. Organizers are solely responsible for determining what permits are legally required in their specific location and obtaining them from the appropriate government agencies. RallyAid provides permit guidance as an informational resource only and is not a substitute for legal advice.

RallyAid maintains a dedicated Official Portal for verified government and law enforcement agencies:

• Local government bodies, law enforcement agencies, municipal departments, and elected officials may apply for verified Official Accounts
• Verified officials can view all scheduled rallies in their jurisdiction and access submitted permit documentation
• Officials can send direct compliance notices or public safety messages to organizers through the platform
• This coordination mechanism is designed to promote transparency, public safety, and lawful assembly rights
• RallyAid does not act as an enforcement agent and does not mandate event cancellation except as required by court order or applicable law
• All official account holders must verify their identity and government credentials through our multi-step verification process

7. User-Generated Content

You retain ownership of all content you post on RallyAid ("User Content"). By posting User Content, you grant RallyAid a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with our Services and business operations.

You represent and warrant that:

• You own or have the necessary rights and permissions to post your User Content
• Your User Content does not infringe any third-party intellectual property, privacy, or other rights
• Your User Content complies with this Agreement and our Community Rules
• Your User Content does not contain malware, viruses, or harmful code

RallyAid reserves the right to remove any User Content that violates this Agreement, our Community Rules, or applicable law, without prior notice.

8. Accountability Hub & Evidence Submissions

RallyAid operates an Accountability Hub that allows users to submit and view evidence-based profiles on public officials, organizations, law enforcement, and other public-interest subjects. By submitting to or interacting with the Accountability Hub, you agree to the following:

• All submitted evidence must be truthful, accurate, and directly relevant to a documented public-interest concern. Fabricated, misleading, or defamatory submissions are strictly prohibited and may result in immediate account termination and legal action.
• Submissions may not contain private home addresses, personal phone numbers, financial account details, information about minors, or other personal data that would constitute doxxing or a privacy violation.
• Evidence relating to private citizens is subject to heightened moderation review. Such profiles require documented public-interest justification approved by RallyAid moderators before publication.
• Subjects of profiles have a right of response. RallyAid will endeavor to notify profiled individuals and provide a formal mechanism to submit corrections, disputes, or a published right of response.
• RallyAid does not guarantee the accuracy of community-submitted evidence. The Platform presents a multi-source corroboration score as a transparency indicator, not as a finding of fact or legal determination of guilt or wrongdoing.
• Users may request removal or correction of inaccurate profile information by contacting accountability@rallyaid.org. Verified factual errors will be corrected within 10 business days.
• RallyAid complies with applicable defamation law. We will respond to valid legal takedown requests and cooperate with lawful legal process regarding accountability content.
• Use of Accountability Hub data to organize harassment campaigns, mob actions, or employer-targeting pressure campaigns is prohibited and will result in immediate account termination.

9. Probe System & Reward Payments

The RallyAid Probe System allows organizers to post intelligence requests and reward verified contributors:

• Organizers who post probes with rewards must fund the reward amount in escrow prior to publishing
• Probe reward payments are subject to our standard payout terms, including identity verification for recipients receiving over $600 (IRS 1099 reporting threshold)
• RallyAid reserves the right to withhold payments if we suspect fraud or terms violations pending investigation
• Probe submissions become the property of the organizing party upon reward payment
• RallyAid charges a platform fee on probe reward transactions as detailed in our current Pricing schedule
• Decisions made by the reviewer panel are final and binding on both organizers and submitters
• Escrowed probe reward funds are refundable to the organizer if the probe project is cancelled before any submissions are approved

RallyAid facilitates voluntary contributions to rally campaigns and organizers. All transactions are processed by Stripe, Inc. and are subject to Stripe's Terms of Service in addition to ours.

9.1 Contributions

• Contributions are processed by third-party payment processors; RallyAid does not store full payment card information
• RallyAid charges a platform processing fee on all contributions as disclosed at the time of transaction
• Organizers are responsible for complying with all applicable fundraising disclosure laws, including FEC regulations for political campaigns
• RallyAid does not guarantee that contributions will be used as described by organizers and is not liable for organizer misuse of contributed funds

9.2 Refund Policy for Contributions

• Rally Cancellation: If a rally is officially cancelled by the organizer before the event date, contributors may request a full refund within 14 days of the cancellation notice
• Fraudulent Campaign: If RallyAid determines a rally campaign was created fraudulently, we will issue full refunds to all contributors from platform-held funds where possible
• Duplicate Charge: Technical errors resulting in duplicate charges will be fully refunded within 5 business days of confirmed identification
• Unauthorized Transaction: If you did not authorize a contribution from your account, contact us within 30 days for investigation and potential refund
• Legal Requirement: Where applicable law requires a refund (e.g., consumer protection statutes in certain jurisdictions)

To request a contribution refund, contact support@rallyaid.app with your transaction ID, date of contribution, amount, and reason for the refund request. We aim to respond to refund requests within 5 business days.

9.3 Subscription Refund Policy

• No pro-rata mid-cycle refunds: Subscriptions are billed for the full billing period. Cancellations take effect at the end of the current billing cycle with no partial refund for unused time
• Annual plan cancellation: If you cancel an annual subscription within 14 days of initial purchase and have not used any premium features, you may request a prorated refund for the unused months
• Free trial: No charge is applied during the free trial period. Cancellation before the trial ends results in no charge
• Service outage credit: Extended platform outages exceeding 24 hours may qualify for a prorated service credit applied to your next billing cycle — not a cash refund
• RallyAid-initiated cancellation: If we terminate your subscription for reasons other than a Terms violation, we will refund any prepaid but unused subscription fees on a prorated basis

Subscription refund requests must be submitted to support@rallyaid.app within 30 days of the charge. After 30 days, all subscription fees are non-refundable. Refunds are issued to the original payment method and may take 5–10 business days to appear depending on your bank or card issuer.

10. Platform Neutrality & No Endorsement

RallyAid is a neutral technology platform committed to enabling free expression and civic participation across the political and ideological spectrum.

RallyAid does not endorse, support, promote, or agree with the political positions, views, goals, or methods of any rally, organization, individual user, or cause hosted on our platform. The presence of any rally or user on RallyAid should not be construed as our approval, endorsement, or alignment with that cause or movement.

As a Public Benefit Corporation, our mission is to empower civic engagement broadly and equitably, not to advance any particular ideology or political agenda. We apply our Community Rules, permit requirements, and moderation standards uniformly across all causes and viewpoints.

RallyAid reserves the right to suspend, restrict, or permanently terminate your account at any time for the following reasons:

• Violation of this Agreement, our Community Rules, Terms & Conditions, or Privacy Policy
• Organizing, promoting, or facilitating illegal activities or violence
• Repeated posting of false, misleading, or fraudulent content
• Harassment, stalking, or threatening other users or RallyAid staff
• Failure to maintain required permits for active rallies
• Fraudulent use of the contribution, probe reward, or payment systems
• Provision of false identity or verification documents

We may suspend or terminate accounts immediately and without prior notice if we determine that your conduct poses imminent danger to public safety, physical harm to others, or material legal liability to RallyAid.

Any dispute arising out of or relating to this Agreement or your use of RallyAid shall be resolved as follows:

• Informal resolution: You agree to first contact us at support@rallyaid.app to attempt informal resolution before pursuing formal proceedings (minimum 30-day window)
• Binding arbitration: If informal resolution fails within 30 days, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA)
• Class action waiver: You waive any right to participate in class action lawsuits or class-wide arbitration against RallyAid
• Governing law: This Agreement shall be governed by the laws of the State of Delaware, without regard to conflict of law provisions
• Venue: Any arbitration proceedings shall be conducted in Wilmington, Delaware, or via remote hearing at your request

Nothing in this section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

RallyAid reserves the right to modify this User Agreement at any time. We will provide at least 30 days' advance notice of material changes via email or a prominent notice on the platform. Your continued use of RallyAid following the effective date of any changes constitutes your acceptance of the modified Agreement. If you do not agree to any modification, you must discontinue use of the platform before the effective date.
