These Terms & Conditions ("Terms") govern your access to and use of the RallyAid platform, website, mobile applications, and all related services (collectively, the "Services") operated by RallyAid, Inc., a Delaware Public Benefit Corporation ("RallyAid," "we," "us," or "our").

By accessing or using our Services in any way — including browsing the website, creating an account, registering for a rally, submitting content, or making any payment — you agree to be bound by these Terms in full. If you do not agree to these Terms, you must not access or use our Services.

These Terms are to be read in conjunction with our Privacy Policy, User Agreement, and Community Rules, all of which are incorporated herein by reference and form part of the binding agreement between you and RallyAid. In case of conflict, these Terms & Conditions shall control.

RallyAid, Inc. was incorporated as a Public Benefit Corporation (PBC) under the Delaware General Corporation Law, Subchapter XV. As a PBC, RallyAid is obligated to pursue a specific public benefit purpose alongside its business objectives.

This PBC status means our board of directors is legally required to consider the interests of our users, society, and our stated mission — not solely shareholder profit — when making material business decisions. We publish a biennial benefit report assessing our performance against this mission, available at rallyaid.com/impact.

Subject to your compliance with these Terms, RallyAid grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial civic engagement purposes.

❌ You may NOT:

• License, sell, resell, transfer, assign, or commercially exploit the Services or any component thereof
• Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of our platform
• Create derivative works based on the Services without express written permission
• Use automated scripts, bots, or scrapers to access, collect, or aggregate data from the Services
• Interfere with or disrupt the integrity or performance of the Services or servers
• Attempt to gain unauthorized access to any portion of the Services or related systems
• Use the Services in any manner that could damage, disable, overburden, or impair our infrastructure
• Reproduce, duplicate, copy, sell, resell, or otherwise exploit any portion of the Services without express permission

4. Intellectual Property Rights

4.1 RallyAid's Intellectual Property

The Services, including all content, features, functionality, design elements, software, code, logos, trademarks, service marks, and trade names, are owned by RallyAid, Inc., its licensors, or other rights holders, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. The RallyAid name and logo are registered trademarks.

4.2 Your User Content

You retain all ownership rights to the content you create and post on RallyAid ("User Content"). By posting User Content, you grant RallyAid a worldwide, perpetual (until account deletion), non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with operating, promoting, and improving our Services.

5. Third-Party Services & Links

The Services may contain links to or integrations with third-party websites, services, payment processors, mapping providers, and social media platforms. These third-party services are governed by their own terms and privacy policies.

• RallyAid does not endorse or control any third-party services and is not responsible for their content, practices, or availability
• Your use of third-party payment processors (e.g., Stripe) is subject to those providers' terms of service and privacy policies
• Links to external resources (e.g., legal aid organizations, government permit offices) are provided for informational purposes only and do not constitute endorsement
• RallyAid is not liable for any loss or damage arising from your interaction with third-party services
• Third-party integrations may be discontinued at any time with reasonable notice where practicable

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RALLYAID EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Services will be uninterrupted, error-free, secure, or free of viruses or harmful components
• Warranties as to the accuracy, completeness, reliability, or timeliness of any content on the platform, including permit information, legal guidance, or jurisdiction alerts
• Warranties that defects in the Services will be corrected within any specified timeframe
• Warranties that the Services will meet your specific requirements or expectations

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full. In such cases, warranties are limited to the minimum required by applicable law.

RALLYAID, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, PARTNERS, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, exemplary, or punitive damages
• Loss of profits, revenue, data, goodwill, or other intangible losses
• Personal injury, property damage, or death arising from rally attendance, organization, or any physical event coordinated through the platform
• Unauthorized access to or alteration of your account, transmissions, or data
• Conduct or content of any third party on the Services, including defamatory, offensive, or illegal conduct
• Damages resulting from events beyond our reasonable control (force majeure), including natural disasters, government actions, cyberattacks, or infrastructure failures
• Inaccuracy of permit, legal, or jurisdictional information provided on or through the platform
• Any decisions made by users in reliance on AI-generated jurisdiction alerts or legal information provided through the platform

RallyAid is a technology platform and coordination tool. We do not organize, supervise, or control the physical activities of rallies, protests, or demonstrations. Participants and organizers assume all inherent risks associated with civic assembly activities.

8. Indemnification

You agree to indemnify, defend, and hold harmless RallyAid, Inc. and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms, our User Agreement, Community Rules, or Privacy Policy
• Your User Content or any use thereof by RallyAid pursuant to the license granted
• Your use of or inability to use the Services
• Your organization of, participation in, or attendance at any rally, protest, or demonstration
• Your violation of any third-party rights, including privacy, intellectual property, or publicity rights
• Any false or misleading information you provide through the Services, including permit documentation
• Your failure to comply with applicable laws and regulations in conducting any event

RallyAid respects the intellectual property rights of others and expects users to do the same. We comply with the Digital Millennium Copyright Act (DMCA) and respond to valid takedown notices promptly.

If you believe content on RallyAid infringes your copyright, please submit a DMCA takedown notice containing the following to our Designated Agent:

• Identification of the copyrighted work you claim has been infringed
• Identification of the infringing material with sufficient detail to locate it on our platform (URL, screenshot)
• Your name, address, telephone number, and email address
• A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
• A statement under penalty of perjury that the information in the notification is accurate and that you are the copyright owner or authorized to act on behalf of the owner
• Your physical or electronic signature

Counter-notices and repeat infringer policies are handled in accordance with the DMCA. Users who repeatedly infringe third-party copyrights will have their accounts terminated without further warning.

Certain advanced features of RallyAid are available through paid subscription plans for organizers and organizations. All subscriptions are processed through Stripe, Inc.

10.1 Subscription Terms

• Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of purchase
• We reserve the right to change subscription pricing with at least 30 days' advance notice via email and in-app notification
• Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date
• You are responsible for all applicable taxes on subscription fees
• Free trial periods convert to paid subscriptions at the end of the trial unless cancelled before the trial expires
• Downgrading a plan takes effect at the start of the next billing cycle

10.2 Subscription Refund Policy

All refund requests must be submitted to support@rallyaid.app within 30 days of the charge. Refunds are issued to the original payment method and typically appear within 5–10 business days.

These Terms remain in effect until terminated by either you or RallyAid. You may terminate your account at any time by deleting your account through account Settings or contacting support@rallyaid.app.

RallyAid may terminate or suspend your access to the Services, with or without notice, for any of the following reasons:

• Material breach of these Terms, our User Agreement, or Community Rules
• Conduct that poses risk of harm to other users, the public, or RallyAid
• Legal obligation or court order requiring termination
• Extended inactivity (accounts inactive for more than 24 consecutive months)
• Discontinuation of the Services (with at least 60 days' advance notice where practicable)

Upon termination, your license to use the Services ceases immediately. Sections of these Terms that by their nature should survive termination — including liability limitations, indemnification, dispute resolution, and intellectual property provisions — will remain in full force and effect.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13. Severability & Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

These Terms, together with our Privacy Policy, User Agreement, and Community Rules, constitute the entire agreement between you and RallyAid with respect to your use of the Services and supersede all prior agreements, understandings, negotiations, and discussions — oral or written — between the parties.

RallyAid reserves the right to modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via email notification and a prominent in-app banner. Non-material changes (e.g., typographical corrections, clarifications that do not affect your rights) may be made without notice and are effective immediately upon posting.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you disagree with any modification, you must stop using the Services before the effective date of the change.
